Job Summary:

The primary role of the incumbent as Board Member Supervisor is to ensure that the Board of Management carries out and manages the Bank’s activities in line with the Bank’s approved business strategy, risk appetite, policies approved by the Board of Supervisor, and relevant laws and regulations of DAB. As Board of Supervisors member, he or she is accountable to the shareholders for ensuring the Bank is effectively managed by maintaining a competent Board of Management, strong and effective internal controls, and coherent and compliant policies and procedures and it is a Hybrid job in term of location.

 

Duties and Responsibilities:

  • To approve the Bank’s Strategic Business Plan and annual Budget, policies necessary for the efficient administration of the Bank, including its Risk Management and Credit Policies, and to monitor and enforce the achievement of the financial performance.
  • To supervise the Bank’s adherence to DAB law and regulations, ensuring that internal controls and risk management measures are adequate for the efficient operations of the Bank, and that the Bank adheres to the highest standards of compliance and ethical behavior in its operations and its treatment of stakeholders.
  • To ensure that DAB and the shareholders are informed immediately of any deterioration in the financial position of the Bank, especially in respect of any potential threat to the adequate capitalization of the Bank, or any danger of such deterioration or any other thing that may materially affect the financial position of the Bank.
  • To ensure the implementation of the DAB directive and any other matters within the power of the Board of Supervisors in the Bank’s Charter or By-Laws.
  • To ensure that the Board of Management implements the policies and procedures, as well as any corrective actions required by DAB.
  • In concert with its committees, to review and, if necessary, revise the policies and procedures at least annually to ensure that they remain adequate and consistent with the Bank’s operations.
  • To verify and ensure the integrity of the Bank’s financial reporting to stakeholders.
  • To supervise the financial operations of the Bank. The Board of Supervisors may demand of its external auditors and of its Board of Management that they assist in identifying any problems the Bank may be encountering.
  • To approve the Bank’s organogram and to assist the CEO in building a competent and professional Board of Management to undertake the efficient day-to-day administration of the Bank.
  • To supervise the Board of Management in managing the operations of the Bank efficiently and professionally and in protecting the interest of the Bank at all times in their day-to-day management of the Bank’s operations.
  • To introduce the new member of the Board of Management to DAB for interview and for approval within a period no longer than three months after a Board of Management position becomes vacant.
  • To appoint, dismiss, and determine the remuneration of the member of the Board of Management of the Bank and to assess their performance in their roles.
  • To make decisions regarding the opening and closing of Branches and outlets of the Bank.
  • To organize General Assembly meeting and adopts the agenda of the Meeting and make recommendation to shareholder on matters requiring their approval, including the appointment of external auditors of the Bank.
  • To make decisions concerning dividend distributions, subject to the requirement of banking laws and the regulation of DAB.
  • To ensure that personal interest of the members of the Board of Supervisors and Board of Management do not conflict with the best interest of the Bank.

Job Requirements

Requirements:

Education/Professional Qualification: 

At least a bachelor’s degree in one of the following fields: Economics, Finance, Accounting, Business Administration, Law, Islamic Economics, Islamic Banking, Principles of Islamic Jurisprudence (Usul al-Fiqh), Islamic Commercial/Transactional Jurisprudence (Fiqh al-Muamalat), or Information Technology; or ACCA membership.

Certifications:

  • Banks are required to give preference to candidates holding specialized certificates from the Accounting and Auditing Organization for Islamic Financial Institutions (AAOIFI).

Work Experience: Applicants must meet at least one of the following experience requirements:

  • At least five years of managerial experience, including service at the level of Department Chief/Head, Deputy Department Chief/Head, or an equivalent position, in one or more of the following fields: Banking, Business Administration, Economics, Islamic Economics, Policy, Law and Sharia Affairs, Information Technology, or Supervision of Financial Institutions; or
  • At least seven years of teaching experience at a higher education institution in one or more of the above-mentioned fields, with an academic rank of at least Associate Professor.

Age Requirement: Applicants must be under 70 years of age.
